Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and DatoBridge, Inc. ("DatoBridge," "we," "us," or "our"). By accessing or using our website at www.datobridge.com (the "Site") or our AI-powered healthcare data automation platform (the "Service"), you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Site or Service.

2. Description of Service

DatoBridge provides an AI-powered data automation platform designed for healthcare organizations, including Management Services Organizations (MSOs), Independent Physician Associations (IPAs), and medical groups. The Service automates data transfers from payor portals, SFTP connections, and Electronic Medical Record (EMR) systems, delivering consolidated healthcare data to customer-designated storage destinations.

DatoBridge operates on a zero PHI storage model. All healthcare data is processed via pass-through streaming and is never stored on DatoBridge infrastructure.

3. Eligibility

The Service is intended for use by authorized representatives of healthcare organizations and their business partners. By using the Service, you represent that:

  • You are at least 18 years of age.
  • You have the legal capacity and authority to enter into these Terms.
  • Your use of the Service complies with all applicable federal, state, and local laws, including HIPAA and applicable state healthcare privacy laws.
  • You are not located in a jurisdiction where use of the Service would violate any applicable law or regulation.

4. Account Registration and Security

To access certain features of the Service, you may be required to create an account. When registering an account, you agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the confidentiality of your account credentials and restrict access to your account.
  • Accept responsibility for all activities that occur under your account.
  • Notify DatoBridge immediately of any unauthorized use of your account or any other security breach.

DatoBridge reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. Permitted Use and Restrictions

5.1 Permitted Use

Subject to these Terms, DatoBridge grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site and Service solely for your organization's internal business purposes in connection with healthcare data management and automation.

5.2 Restrictions

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation, including HIPAA.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service.
  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service or any part thereof.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service.
  • Use the Service to transmit viruses, malware, or other harmful code.
  • Interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service.
  • Use automated means (bots, scrapers, crawlers) to access the Service except as expressly permitted.
  • Use the Service in any manner that could damage, disable, overburden, or impair any DatoBridge server or network.
  • Share account credentials with unauthorized individuals or allow third parties to access the Service through your account without authorization.

6. Intellectual Property

6.1 DatoBridge Ownership

The Service, including all software, algorithms, user interfaces, designs, text, graphics, logos, trademarks, and other content provided by DatoBridge (collectively, "DatoBridge IP"), is owned by or licensed to DatoBridge and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the DatoBridge IP except the limited use rights expressly granted herein.

6.2 Your Data

You retain all rights to the data you submit to or process through the Service ("Your Data"). You grant DatoBridge a limited, non-exclusive license to access, process, and transmit Your Data solely as necessary to provide the Service. DatoBridge will not use Your Data for any purpose other than delivering the Service, and in the case of Protected Health Information, will handle such data in accordance with the applicable Business Associate Agreement.

6.3 Feedback

If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant DatoBridge a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without restriction or obligation to you.

7. Data Privacy

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

8. HIPAA and Healthcare Data

DatoBridge is designed to operate as a HIPAA-compliant platform. With respect to Protected Health Information ("PHI"):

  • DatoBridge will enter into a Business Associate Agreement ("BAA") with each covered entity or business associate that uses the Service to process PHI, as required by HIPAA.
  • DatoBridge operates a zero PHI storage architecture. PHI is processed via encrypted pass-through streaming and is never persisted on DatoBridge infrastructure.
  • All data transmissions involving PHI are encrypted using AES-256-GCM encryption in transit and at rest.
  • You are responsible for ensuring that your use of the Service complies with HIPAA and all applicable healthcare privacy laws.

9. Service Availability and Support

9.1 Availability

DatoBridge strives to maintain high availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control. We will make commercially reasonable efforts to provide advance notice of planned downtime.

9.2 Support

Technical support is provided in accordance with the applicable service plan and any separately executed Service Level Agreement ("SLA"). General inquiries may be directed to our contact page.

10. Fees and Payment

Access to certain features of the Service requires a paid subscription. If you subscribe to a paid plan:

  • Fees are as set forth in your subscription agreement or order form and are due in accordance with the payment terms specified therein.
  • All fees are non-refundable except as expressly provided in your subscription agreement or required by applicable law.
  • DatoBridge reserves the right to modify pricing upon reasonable notice. Changes will not apply to the current billing period.
  • Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
  • DatoBridge may suspend access to the Service for accounts with overdue balances exceeding 30 days.

11. Confidentiality

"Confidential Information" means any non-public information disclosed by either party to the other in connection with the Service, including business plans, technical data, customer lists, pricing, and any information designated as confidential. Each party agrees to:

  • Use the other party's Confidential Information solely to perform its obligations or exercise its rights under these Terms.
  • Protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.
  • Not disclose the other party's Confidential Information to third parties except as necessary to perform under these Terms, provided such third parties are bound by confidentiality obligations at least as protective as those herein.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided reasonable notice is given to the disclosing party.

12. Disclaimers

THE SERVICE AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, DatoBridge disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

DatoBridge does not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from use of the Service will be accurate or reliable; or (d) any defects in the Service will be corrected.

DatoBridge does not provide medical, legal, or regulatory compliance advice. You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DATOBRIDGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, business, goodwill, or other intangible losses, arising out of or in connection with: (a) your use of or inability to use the Service; (b) any unauthorized access to or alteration of your data or transmissions; (c) any third-party conduct on the Service; or (d) any other matter relating to the Service.

DATOBRIDGE'S TOTAL AGGREGATE LIABILITY for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to DatoBridge during the twelve (12) months preceding the claim; or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless DatoBridge, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service in violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any data or content you submit to or process through the Service.
  • Your failure to comply with HIPAA or other healthcare regulations in connection with your use of the Service.

15. Term and Termination

15.1 Term

These Terms are effective when you first access the Site or Service and remain in effect until terminated by either party.

15.2 Termination by You

You may terminate your account at any time by contacting us at legal@datobridge.com. Termination does not relieve you of any obligations accrued prior to termination, including payment of outstanding fees.

15.3 Termination by DatoBridge

DatoBridge may suspend or terminate your access to the Service at any time, with or without cause, upon written notice. We may terminate immediately without notice if you materially breach these Terms, fail to pay fees when due, or if we reasonably believe your continued use poses a security risk or legal liability.

15.4 Effect of Termination

Upon termination: (a) your right to access and use the Service immediately ceases; (b) DatoBridge will delete your account data within 30 days unless retention is required by law or a separate agreement; (c) Sections 6, 11, 12, 13, 14, 16, and 17 shall survive termination.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If the parties are unable to resolve the dispute within 30 days of written notice, either party may pursue binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida.

16.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DATOBRIDGE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16.4 Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, any applicable BAA, and any subscription agreement or order form, constitute the entire agreement between you and DatoBridge regarding the subject matter hereof and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

The failure of DatoBridge to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of DatoBridge.

17.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without the prior written consent of DatoBridge. DatoBridge may assign these Terms without restriction in connection with a merger, acquisition, or sale of all or substantially all of its assets.

17.5 Force Majeure

DatoBridge shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, telecommunications failures, power outages, or cyberattacks.

17.6 Notices

All legal notices under these Terms must be in writing and sent to the applicable party's designated address. Notices to DatoBridge should be directed to legal@datobridge.com. Notices to you will be sent to the email address associated with your account.

18. Changes to These Terms

DatoBridge reserves the right to modify these Terms at any time. We will post the updated Terms on this page with a revised "Last Updated" date. Material changes will be communicated via email or a prominent notice on the Site at least 30 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
